Regulation Crowdfunding: Guidance for Issuers
This lesson is a guide published by SEC.
Read the guideWhat you'll get
The SEC staff's guide for companies that raise money from the public online under Regulation Crowdfunding covers the single registered platform an offering must use, a 12-month ceiling on how much a company can raise, limits on each investor, an offering statement whose financial statements need more review as the amount rises, and annual reports afterward. Selling shares to customers is a securities offering and the guide says it is not legal advice, so use it to see the duties and talk to a securities lawyer before you ask anyone to invest.
Do this week
Read the guide's list of required filings, write down the three that would be hardest for your company, and note what you would need a lawyer or accountant to prepare.
